Utility Rescue Holdings, Inc., is a holding company for five service companies: Just VIV, LLC (“VIV”), Utiliz Services, LLC (“Utiliz”), VIV Insurance, LLC (“VIV Insurance”), Flagship Power Services, LLC (“Flagship Power”), and TASC, LLC (“American Solar”). These portfolio companies provide, among other things, bill negotiation and audit services, insurance services, retail electricity services and solar energy services.
Just VIV, LLC, provides bill negotiation, bill audits and other cost-saving services to consumer and commercial clients. Most services provided by VIV are on a contingency basis. VIV currently has approximately 20,000 customers and is growing at a rate of approximately 1,500 customers a month. VIV has white label agreements with Utiliz and Flagship Power, and these agreements allow Utiliz and Flagship Power to market VIV’s services to their customers, which provides additional revenue to VIV. VIV is 100% owned by Utility Rescue Holdings.
Utiliz Services, LLC, is an energy brokerage services company, servicing both consumer and commercial clients. Utiliz provides a service in which it searches retail utility markets to switch customers to a competitive plan that saves them money, sometimes charging the customer a monthly fee. Utiliz currently has a customer base of 5,000 customers, and it is consistently growing. Additionally, Utiliz has a broker agreement with Flagship Power that allows Utiliz to be paid commissions for sending customers to Flagship Power, which will provide additional revenue to Utiliz and Flagship. Utiliz is 100% owned by Utility Rescue Holdings.
VIV Insurance, LLC owns 49% of a joint venture that brokers homeowners/renters, auto, and umbrella insurance. Blue Aspen has an agreement in place with VIV, that allows VIV to market Blue Aspen insurance services to its customers, and this will provide additional revenue to Blue Aspen and VIV. VIV Insurance, LLC, is owned 100% by Utility Rescue Holdings. The remaining 51% of Blue Aspen is owned by Woop Management, LLC, an unrelated entity.
TASC, LLC, known as The American Solar Company, provides end-to-end rooftop solar installations and services. TASC has an agreement with VIV that allows VIV to market and sell American Solar services to its customers, which will increase revenue for American Solar and VIV. TASC is 100% owned by Utility Resource Holdings.
Minimum Investment: $24,500
The securities being offered in the Offering are equity interests in Utility Recuse Holdings, Inc. in the form of Class A Common Stock.
Distribution Rights: The holders of Class A Common Stock shall be entitled to receive dividends, when and as declared by the Board of Directors, provided, however, that no dividend shall be declared or paid on the Class A Common Stock so long as any of the Class B Preferred Stock remains outstanding.
Voting Rights: Each holder of shares of Class A Common Stock will be entitled to one vote for each share thereof held are the record date of determination of the stockholders entitled to vote on such matters, or if no such record date, the date such vote is take or any written consent of stockholders is solicited. All classes of the Company’s stock have equal voting rights (1 share, 1 vote).
Liquidation Rights: In the event of any liquidation, dissolution or winding up of the Company, whether voluntary or involuntary, then before any payment or distribution shall be made to the holders of Class A Common Stock, the holders of Class B Preferred Stock shall be entitled to be paid such amount as shall have been fixed by the previous determination of the Board. Thereafter, the remaining assets shall belong to and be divided among the holders of the Class Common A Stock.
Preemptive Rights: The Company’s shares do not have preemptive rights.
Redemption: The holders of the Class A Common Stock shall not have any right at any time to require the redemption of any of the shares of Class A Common Stock.
No Sinking Fund Provisions: The Company has no sinking fund provisions.
No Liability to further calls or to assessment by the Company: There are no outstanding calls or assessments that could create liability.
Any rights of Shareholders that may be modified otherwise than by a vote of a majority or more of the then Shares outstanding, voting as a class: No rights of Shareholders may be modified otherwise than by a vote of a majority or more of the then Shares outstanding, voting as a class.
The Company is currently managed by seasoned business and sector professionals dedicated to the success of the Company and efficient execution of its planned operations.
A native Houstonian, Tom Schmidt received a Bachelor of Arts degree in Political Science and International Politics from the University of Pennsylvania. He is also an Honors graduate of the University of Texas School of Law, where he served as an Associate Editor of the Texas Law Review. Tom has been practicing law for 27 years and investing in and founding private companies for 20 years. While he served as CEO, Tom’s employers have been awarded the Student Youth Travel Association Award for Diversity in Hiring, multiple Concierge Choice Awards, and Multiple TripAdvisor Certificates of Excellence. Individually, Tom was named a Texas Super Lawyer in multiple years, has been admitted to the Multi-Million Dollar Advocates Forum, and achieved the rank of Eagle Scout. He is also a Co-Founder and General Counsel of Grateful Americans Charity, which assists veterans suffering from PTSD.
Kevin received a Bachelor of Business Administration in Finance from the University of Oklahoma. He participated in executive MBA programs at Columbia Business School and Northwestern Kellogg School of Management but did not complete them due to his ongoing entrepreneurial ventures. Kevin is a strategic CFO who champions entrepreneurs. His work transcends traditional financial reporting and asset protection to foster growth, innovation, and enduring value. For 17 years, Kevin and executives raised $1.1 billion to grow various energy, manufacturing, and technology companies. They produced $6.4 billion in stakeholder value and listed enterprises on the NASDAQ, NYSE, and TSX. Kevin’s foundational years included stints at Goldman Sachs, Ernst & Young, and Hicks Muse Private Equity. He was instrumental in 20 plus corporate transactions that reshaped industries during that period. He is an Ambassador (Donor) to the Navy Seal Foundation.
Rita Karpel was born in Chicago and has 30 plus years of multidisciplinary experience, exemplified by unwavering ambition and business acumen. As the Vice President of Marketing & Investor Relations at Utility Rescue, Rita spearheads business development, cultivates investor relationships, and leads strategic marketing initiatives to catalyze innovation and propel Utility Rescue’s growth.
Before joining the company, Rita raised over $300 million to scale agriculture, energy, law, media, real estate, and technology ventures. Her strategic foresight and negotiation skills were critical in executing 20 plus corporate transactions that reshaped industries.
Earlier in her career, Rita held capital formation and marketing executive roles at various brokerage firms, including Man Financial. Her tenure at a radio network company showcased her skills in analytics and financial media production.
Rita started her journey at the Chicago Mercantile Exchange. She is also a prominent supporter of foundations aligned with her professional and personal values.
Johnnie resides in Charlotte, North Carolina by way of New Jersey. Johnnie received his Bachelor of Science degree in Marketing from the Rutgers School of Business, Livingston College, Rutgers University. Johnnie is an accomplished sales training professional with 3 decades of experience in direct sales/network marketing, on-boarding, relationship building, team development and sales management. Johnnie has been recognized in Success From Home Magazine for his outstanding production and leadership. He is also a board member of the Sudden Cardiac Arrest Foundation and Advocate for the American Heart Association. He is the owner and founder of DGE Insurance Group and SucceedwithJD.com executive leadership coaching.
Born and raised in New York, Edward Cuyatti received a Bachelor of Arts degree from Manhattanville College with a Major in Business Management and a Minor in Criminal Law. Edward excels at customer satisfaction and retention, reporting and analysis, team management, training, and development, and energy management. Edward has been in the Energy Industry for 11 years working for various companies such as Crius Energy’s Telecom brands, Virdian Energy and now, Just Viv, LLC. Originally starting off as a service rep, he quickly rose the ranks and has overseen and managed the customer service and operations of each business ensuring growth and success.
